  1. Purpose: The purpose of the Global Vietnam E-commerce Association (VGEA) is established to promote and develop commerce through the Internet, enabling Vietnamese businesses to expand globally and assisting global businesses in developing the Vietnamese market by:
  • Creating an environment for connection and collaboration among e-commerce businesses within and outside the country through social media networks.
  • Supporting domestic and international businesses in building their online brand presence and providing solutions to connect with potential global customers.
  • Creating opportunities to share knowledge and experience, especially regarding trends and technological advancements in this field.
  • Fostering international cooperation and creating favorable conditions for Vietnamese businesses to expand their markets abroad and for foreign businesses to develop the Vietnamese market.
  • Representing and protecting the rights and interests of members in the domestic and international e-commerce industry.

2. Scope of Activities: The scope of activities of the Global Vietnam E-commerce Association is global, with a focus on markets such as the United States, Europe, China, India, South Korea, Indonesia, Japan, among others. To achieve its goals, VGEA carries out a range of activities, including but not limited to:

  • Organizing conferences, online seminars, and meetings to promote networking and learning among members and experts in the e-commerce field.
  • Providing information, consultation, and support on e-commerce-related issues.
  • Building cooperative relationships with Vietnamese government organizations to promote the development of the Vietnamese e-commerce industry through collaborations with e-commerce associations worldwide.
  • Participating in promotional and developmental activities related to e-commerce, both domestically and internationally.

3. Executive Board of the Association

The Executive Board of the Global Vietnam E-commerce Association (VGEA) is the top management and governing body of the organization. The Executive Board ensures that the Association operates efficiently and adheres to its Charter and regulations. Members of the Executive Board are typically elected or nominated from within the organization and are responsible for leading and guiding the activities of the Association.

The organizational structure of the Executive Board includes:

  • President and Vice-Presidents: The Executive Board comprises a President and several Vice-Presidents, each responsible for specific areas such as technology, finance, communications, domestic affairs, and international relations.

  • Heads of Committees: Reporting to the Vice-Presidents are the Heads of Committees, including the Finance Committee, Communications Committee, Association Office, Organizational Committee, Domestic Affairs Committee, and International Relations Committee.

The primary duties and responsibilities of the Executive Board include:

  • Strategic Leadership: The Executive Board shapes the overall strategy of the Association and ensures that the organization achieves its goals and mission.

  • Financial Management: The Executive Board oversees the Association’s finances, approves budgets, and efficiently manages financial resources.

  • Ensuring Compliance: The Executive Board ensures that the Association complies with all provisions and rules outlined in its Charter and regulations.

  • Operational Management: The Executive Board makes decisions regarding the Association’s activities and programs and monitors their implementation.

  • Representation and Communication: The Executive Board serves as the official representative body of the Association and approves public messages and statements.

  • Planning and Development: The Executive Board develops long-term plans and proposes strategies to promote the growth of the Association.

  • Building Collaborative Relationships: The Executive Board establishes and maintains collaborative relationships with other organizations and partners to support the Association’s goals.

The Executive Board is an integral part of the Association’s management structure and carries significant responsibilities to ensure the success and sustainable development of the organization.

4. Member’s Rights:

  • Right to Participate in Decision-Making: Members have the right to participate in decisions and voting during meetings, elections, or other decision-making processes of the Association.

  • Right to Access Information: Members have the right to access information related to the activities of the Association and internal documents.

  • Right to Use Free Technology Tools and Platforms: Members have the right to use free technology tools and platforms created by the Association to support their business activities.

  • Right to Communicate and Promote Products/Services on Social Media Platforms Created by the Association: Members have the right to utilize communication channels and promote their products or services on social media platforms created by the Association.

  • Right to Use Services and Benefits: Members have the right to utilize the services, benefits, and resource materials provided by the Association.

  • Right to Propose and Participate in Projects: Members have the right to propose projects, programs, or activities and participate in them if approved.

  • Right to Vote and Be Elected: If applicable, members have the right to participate in the election process for leadership positions within the Association or be elected to such positions.

5. Member’s Responsibilities:

  • Adherence to Bylaws and Regulations: Members must adhere to all provisions, bylaws, and regulations of the Association.

  • Payment of Fees and Contributions: Members are obligated to pay membership fees and financial contributions as specified to support the Association’s activities.

  • Participation and Support of Activities: Members should actively participate in the Association’s activities and provide support when necessary.

  • Protection of Common Interests: Members should work to protect the interests and rights of all members and promote the goals and mission of the Association.

  • Confidentiality of Information: Members should maintain the confidentiality of important information of the Association and not disclose such information to anyone without the proper authorization.

6. Membership Enrollment:

Basic Requirements: To join the Association, applicants must be businesses registered in Vietnam and globally, meeting the basic requirements outlined in the Association’s Articles of Incorporation and Regulations.

Fee Conditions: Applicants are required to pay membership fees and maintain membership according to the Association’s regulations.

Authorization and Documentation: Applicants must provide the necessary documents and information for the registration process, including identity verification documents and any authorizations related to representing the business or organization they represent.

Agreement with Articles and Regulations: Applicants must agree to and adhere to all terms and regulations specified in the Association’s Articles of Incorporation and Regulations.

7. Membership Maintenance:

Regular Payment: Members are required to make regular payments of fees or financial contributions as stipulated by the Association to maintain their membership status.

Adherence to Articles and Regulations: Members must adhere to all terms and regulations in the Association’s Articles of Incorporation and Regulations throughout their membership.

Participation in Activities: Members are encouraged to actively participate in and support the Association’s activities and build positive relationships with other members.

Information Security: Members must comply with the Association’s information security regulations and not disclose important information of the Association to anyone without proper authorization.

Participation in Projects and Activities: Members are encouraged to participate in projects, programs, and activities of the Association to support the goals and mission of the organization.

Termination of Membership:

Membership status may be terminated as per the provisions outlined in the Association’s Articles of Incorporation and Regulations, through the Association’s decision-making process, or due to non-compliance with the fundamental terms and regulations of the Association.

8. Financial Regulations

Payment of Joining and Membership Fees:

  • Members are required to make payments for joining and maintaining their membership as per the Association’s regulations.
  • The payment deadlines for these fees depend on agreements and provisions established by the Association.

Financial Management:

  • The Association’s finances shall be managed transparently and honestly.
  • All financial transactions of the Association must be recorded and reported in full compliance with accounting and tax regulations.

Financial Auditing:

  • The financial affairs of the Association may be subject to periodic audits by an independent auditing firm to ensure transparency and accuracy.

Allocation of Finances:

  • Revenues from membership fees and other financial sources shall be allocated to various activities and programs based on decisions made by the Board of Directors.

Management of Financial Resources:

  • Financial resources of the Association shall be carefully managed to ensure stability and alignment with the Association’s objectives.

Electronic Financial Transactions:

  • All electronic financial transactions, including fee payments and transfers, must be conducted through secure methods and accurately documented.

Financial Reporting:

  • The Board of Directors is responsible for compiling and periodically disclosing financial reports to inform members about the Association’s financial status.

10. General Meetings – Terms

  • Regular Organization: The Association shall hold at least one General Meeting per year, as stipulated in the Articles and regulations of the Association.

  • Notification: Notice of the General Meeting shall be sent to all members at least four (4) weeks before the scheduled date, providing the time, venue, and expected agenda of the meeting.

  • Member Participation: The General Meeting is open to all members of the Association. Members have the right to attend and vote in the proceedings.

  • Presiding Officer: The President of the Board of Directors of the Association or a duly authorized individual shall preside over the General Meeting.

  • Responsibilities: The General Meeting is tasked with discussing and deciding on important matters of the Association, including but not limited to changes to the Articles and regulations through resolutions and the election of key positions within the Association.

  • Quorum: To be considered valid, the General Meeting must have a quorum of members present, as stipulated at the time of the meeting’s commencement.

  • Voting: Decisions at the General Meeting are made through voting and require approval by a majority of the votes cast by attending members.

  • Minutes: The General Meeting shall be meticulously recorded, and the minutes shall be stored and accessed as stipulated.

  • Attached Documents: Any important documents or information related to the General Meeting shall be provided to all members before the meeting to enable informed participation.

  • Additional Notes: Additional or amended provisions for the General Meeting may be proposed and adopted as per the regulations in the Articles and regulations of the Association.

  • Special Meetings: In addition to regular General Meetings, the Association may hold special meetings to discuss and decide on specific matters as outlined in the Articles and regulations.

  • Conclusion: The General Meeting concludes upon the completion of the tasks and decisions outlined in the published agenda or when the presiding officer declares its conclusion.

11. Amendments to the Articles

  • Amendment Rights: Amendments to the Association’s Articles may be carried out either by the General Assembly or through written consent of the Board of Directors.

  • Proposal for Amendment: Members of the Association have the right to propose amendments to the Articles. These proposals must be submitted to the Board of Directors at least four (4) weeks prior to the General Assembly meeting or before conducting a written consent vote by the Board of Directors.

  • Amendment Vote: Amendments to the Articles are enacted through a vote and must be approved by a majority vote of participating members in the General Assembly or through written consent of the Board of Directors.

  • Effective Date: Amendments that are approved will take effect immediately unless otherwise specified in the amendment vote.

  • Notification: Association members will be informed of any amendments to the Articles and provided with a copy of the revised Articles after the amendment.

  • Record Keeping: Any changes to the Articles will be meticulously recorded, stored, and made accessible in accordance with regulations.

  • Integrated Amendments: Amendments to the Articles may be directly integrated into the existing Articles or may be included in supplementary documents as determined by the Board of Directors.

12. Intellectual Property Rights

  • Protection of Intellectual Property: The Association is committed to safeguarding the intellectual property rights of its members and encourages the creation and protection of innovations, inventions, and creativity in the field of e-commerce.

  • Intellectual Ownership: Members are acknowledged and protected in their intellectual property rights, including copyrights, trademarks, patents, and similar rights, as per current laws.

  • Sharing of Knowledge: The Association promotes the sharing of information and knowledge within the e-commerce industry to foster its development and advancement.

  • No Infringement of Intellectual Property: Members of the Association commit not to infringe upon the intellectual property rights of others and adhere to relevant regulations concerning intellectual property.

  • Right to Utilize Intellectual Property: Members have the right to use their intellectual property rights in the development and execution of e-commerce activities.

  • Collaboration: The Association encourages cooperation among members in protecting and utilizing intellectual property rights for the benefit of the industry.

  • Dispute Resolution: The Association provides mechanisms for resolving disputes related to intellectual property among members in a fair and transparent manner.

  • Reporting of Intellectual Property: Members are encouraged to report on the usage and protection of their intellectual property rights in e-commerce activities.

  • Legal Support: The Association may provide legal support or advice related to intellectual property rights to members when necessary.
